TRANSPORTATION SERVICES AGREEMENT
This Transportation Services Agreement ("Agreement") is entered into as of February 20, 2026 between Access Ride Platform ("Platform") and Grace Facility ("Client").
1. AGREEMENT OVERVIEW
This Agreement establishes the terms and conditions under which Platform will provide Non-Emergency Medical Transportation (Fleet) coordination services to Client.
2. SERVICES PROVIDED
Platform agrees to provide the following services:
- Non-Emergency Medical Transportation (Fleet) coordination
- Real-time dispatch coordination and fleet assignment
- Driver and vehicle compliance oversight
- Trip scheduling and management
- Automated billing and invoice generation
3. TERM & TERMINATION
This Agreement shall commence on February 20, 2026 and continue for a period of indefinitely (no end date) unless terminated earlier.
- Renewal: Auto-renew unless 60 days written notice.
- Termination: Either party may terminate with 60 days notice.
- Immediate Termination: For compliance breaches or non-payment.
4. PAYMENT TERMS
Rate: $40.00 per trip
Rate: Tiered pricing — $45 per trip (1–100 trips/mo), $38 per trip (101–500 trips/mo), $30 per trip (500+ trips/mo)
Billing: Monthly on the 1st
Billing: Bi-weekly on the 1st and 15th
- Due: Net 30 days
- Late Fees: 1.5% monthly on overdue balances
- Late Fees: 1.0% monthly on overdue balances, with 15-day grace period
- Rate: $40.00 per trip
- Billing: Monthly on the 1st
- Due: Net 30 days
- Late Fees: 1.5% monthly on overdue balances
- Rate: Tiered pricing — $45/trip (1–100), $38/trip (101–500), $30/trip (500+)
- Billing: Bi-weekly on the 1st and 15th
- Due: Net 30 days
- Late Fees: 1.0% monthly on overdue balances, with 15-day grace period
5. COMPLIANCE
- All services comply with California regulations
- Minimum $1M commercial auto liability coverage
- Valid driver licenses and certifications required
6. LIABILITY
Platform liability is limited to direct damages not exceeding fees paid in the preceding 12 months.
7. GOVERNING LAW
Governed by the laws of California.
